Terms of Service

By accessing or using Kernous, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using Kernous on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree to these terms, do not use the service.

Kernous provides a real-time AI sales assistant — live transcription, contextual coaching, knowledge-base retrieval, post-call artifacts (summaries, deal rooms, CRM updates), and customer-history briefs. We may add, modify, or remove features at any time; we'll communicate material changes with reasonable notice.

You are responsible for keeping your sign-in credentials secure and for all activity under your account. Provide accurate registration information and keep it up to date. Notify us immediately at security@kernous.com if you suspect unauthorised access.

• Don't use Kernous for any illegal activity, including transmitting unlawful content or violating any third-party rights.
• Don't reverse-engineer, decompile, scrape model outputs at scale, or attempt to extract training data from the service.
• Don't resell, sublicense, or white-label Kernous without a written agreement from us.
• Don't record any call without consent from every party. Many jurisdictions (Japan, California, Florida, the EU under GDPR) require explicit consent from all speakers before recording. You are responsible for compliance in your jurisdiction.
• Don't mass-scrape transcripts, knowledge content, or other users' data through any interface (web, API, or otherwise).

You retain ownership of your transcripts, uploaded knowledge, and any content you create or upload through Kernous. You grant Kernous a worldwide, non-exclusive license to host, copy, transmit, and process your content solely for the purpose of providing the service to you. We do not use your content to train third-party models.

Kernous owns the platform, branding, AI models we develop, documentation, and all related intellectual property. These Terms grant you a limited, revocable, non-transferable license to use the service. Nothing here transfers ownership of Kernous IP to you.

Free-tier limits are described in your dashboard. Paid plans (when enabled) are billed via Stripe in advance for each subscription period. Plans renew automatically unless cancelled before the renewal date. Refunds are evaluated case by case at our discretion; contact billing@kernous.com.

Either party may terminate this agreement at any time. You may delete your account from /settings; we may suspend or terminate accounts that violate these terms. On termination, your data is deleted per the retention schedule in our Privacy Policy.

Kernous is provided "as-is" and "as-available" without warranties of any kind, express or implied. AI suggestions and summaries may be inaccurate; treat them as input to your judgement, not a substitute for it. We do not warrant that the service will be uninterrupted, error-free, or fit for any particular purpose.

To the maximum extent permitted by law, Kernous's total liability for any claim arising out of or relating to the service is limited to the amount you have paid us in the 12 months preceding the event giving rise to the claim, or USD 100, whichever is greater. We are not liable for indirect, consequential, or punitive damages.

You agree to indemnify and hold Kernous harmless from any claim arising from your use of the service in violation of these Terms or applicable law, including (without limitation) claims arising from recording calls without proper consent.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction of those courts.

We may update these Terms from time to time. Material changes will be communicated by email to your account address. Continued use after the effective date means you accept the updated terms.
